Banking and Finance

Financing transactions are built at the point where the parties’ commercial objective meets the legislation and the lender’s risk policy. We therefore treat banking and finance law not merely as the drafting of contract text, but as structuring the transaction correctly from the start, putting the security chain on a legally sound footing, and keeping that structure standing when a problem arises. The most decisive experience in this field is to have worked on both the lender’s side and the borrower’s. Knowing, together, the reason for which a security clause is defended at the negotiating table and what it actually achieves at the enforcement stage makes it possible to tell the client where to hold the line and where not to insist.

How we work

In financing transactions the timetable is often more pressing than the law. The closing date is fixed, the credit-committee decision is fixed, and the conditions to payment depend on one another. We therefore run our matters against a timetable from the outset: the list of conditions precedent, which document will come from whom and when, and which item the critical path runs through, are settled at the first stage.

On multi-party transactions, teams from the firm’s different fields work on the same matter together. In an acquisition financing, company law, the competition filing, real estate and employment law are tied to the same timetable; running them separately delays the transaction. That is why we prefer an integrated team coordinated by a single responsible lawyer.
